The basis on which we deal — short, plain, and applicable to commercial trade transactions with Austral Prime.

These terms (the "Terms") govern (a) your use of the australprime.com website and (b) commercial trade transactions between Austral Prime Trade & Services (ABN 32 261 010 254) ("Austral Prime", "we", "us") and any business or trade buyer ("you").
Trade transactions are commercial dealings between businesses. Where you deal with us as a consumer through one of our retail or marketplace channels (for example, our eBay Australia store or our associated retail brand Newtowne), the terms applicable to that channel will govern your purchase, alongside your rights under the Australian Consumer Law.

Stock summaries, photos, and indicative pricing presented on this site or sent in correspondence are for information only and do not constitute a binding offer. A binding offer arises only when we issue a written quotation or proforma invoice referring to specific stock, quantity, and price, and is subject to the conditions stated in that document.
Quotations are valid for the period stated, or otherwise for seven (7) days from issue, and are subject to prior sale.
Stock offered through Austral Prime is sourced through commercial channels and may be surplus, clearance, end-of-line, refurbished, or used commercial stock. Condition will be disclosed in writing prior to transaction. Photos, descriptions, and condition reports issued at the time of quotation prevail over any general descriptions on this site.
To the extent permitted by law, stock is sold on an "as inspected" or "as described in writing" basis, and buyers are encouraged to inspect or request a sample before commitment for any material purchase.
Prices are quoted in Australian dollars unless otherwise stated. GST is either included or applied at the prevailing Australian rate, as indicated on the relevant quotation or invoice. Prices for export transactions may be quoted exclusive of Australian GST in accordance with the GST-free export rules.
Customs duties, foreign taxes, and import charges are the buyer's responsibility unless expressly agreed in writing.
Payment terms are stated on each quotation or invoice. Unless otherwise agreed in writing, full cleared payment is required before stock release or dispatch. Accepted methods include direct bank transfer (preferred), and other methods as nominated on the invoice.
Overdue invoices may attract reasonable recovery costs and interest at a commercial rate.
Title in stock remains with Austral Prime until full payment has been received and cleared. Risk passes to the buyer upon collection or upon handover to the nominated freight carrier, whichever is the earlier, unless otherwise agreed in writing.
Delivery times stated are estimates. We will use reasonable efforts to meet stated dates but are not liable for delays caused by carriers, customs authorities, force majeure events, or matters outside our reasonable control.
Claims relating to short delivery, transit damage, or material mis-description must be notified in writing within seven (7) days of receipt and supported by photographs and the consignment documentation. Each claim is reviewed on its merits.
Stock supplied as commercial trade stock is generally non-returnable after acceptance, except where required by law or as expressly agreed.
Nothing in these Terms limits any rights you have under the Australian Consumer Law or other rights that cannot lawfully be excluded.
Subject to the above, our total liability arising in connection with any transaction is limited, at our option, to (i) replacing or repairing the stock; (ii) refunding the price paid; or (iii) supplying equivalent stock. We are not liable for indirect or consequential loss, including loss of profit, loss of business, or loss of goodwill.
Pricing, supplier identity, and stock manifests shared in the course of enquiries or transactions are commercially confidential and are provided on the basis that they will not be disclosed to third parties or used for any purpose other than the contemplated transaction.
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of that State.
We may update these Terms from time to time. The version in force at the time a quotation is issued will apply to that transaction.
